What is Form IRC3113?

Form IRC3113 is addressed to the Commissioner of Inland Revenue. Under section 8 of the Business Registration Ordinance (Cap. 310), the business operator notifies that a business or a branch has ceased and asks for its registration to be cancelled. A separate notice is needed for each business or branch.

The form's notes say the Ordinance requires a business operator to notify the Commissioner in writing within one month of a change in business registration particulars or a cessation of business, that advance notice will not be accepted, and that failure to comply may lead to prosecution with a maximum penalty of $5,000 and imprisonment for one year.

Who needs to fill out Form IRC3113?

  • Sole proprietors closing their business.
  • Partnerships whose business has ceased.
  • Businesses closing one branch while the main business carries on.
  • Companies in liquidation, which enclose a copy of the special resolution for liquidation.
  • Companies incorporated outside Hong Kong that no longer have a place of business in Hong Kong.
  • Clubs, societies and other unincorporated bodies whose registered business has ceased.

When to use Form IRC3113

  • After the business or branch has actually ceased — the IRD won't accept notice in advance.
  • Within one month of the cessation.
  • Not for a local company deregistering with the Companies Registry: the form's Note 4 says the Registry tells the IRD the result, so no written notice or copy of the deregistration letter is needed.

How to fill out Form IRC3113, step by step

1 1–3. Registration number, name and date

Give the Business Registration Number and branch number ("000" for the main business), the name of the business, corporation or branch, and the date of cessation in DD MM YYYY boxes. The '*' words — Business / Branch, and Business / Corporation / Branch — are deleted as appropriate; FileIt crosses out the ones that don't apply.

Put an X in one box: the sole-proprietorship, partnership or other body unincorporate has ceased; the branch business has ceased; the body corporate is in liquidation (enclose the special resolution); or the body corporate is incorporated outside Hong Kong and no longer has a place of business in Hong Kong.

3 5. Postal address after cessation

Give the area — H (Hong Kong Island), K (Kowloon), N (New Territories) or F (Foreign) — then the address in either Chinese or English, not both. The English address has one box per letter for flat, block, floor, building, street and district.

4 Signer and designation

The business operator signs (Note 2) and gives their name, their identity card or passport number — or, when signing for a corporate director or a secretarial firm, that body's business registration number — and ticks their designation. Add the date and a telephone number.

Common mistakes to avoid

  • Sending the notice before the business has ceased — advance notice is not accepted.
  • Missing the one-month deadline.
  • Covering several businesses or branches on one form — each needs its own notice.
  • Faxing or emailing the form — the IRD asks for the signed original by post or in person.
  • Leaving the branch number blank for the main business instead of writing 000.
  • Using the form for a local company that is deregistering with the Companies Registry.
