What is a security services agreement?

A security services agreement is the contract between a security company and a client — a business, property manager, construction firm or event organiser — for static guards, mobile patrols, event security or concierge security. It sets what officers will do, when, under whose instructions and within what legal limits, and who carries which risks if something is stolen or someone is hurt.

This template records the site, service type, hours and staffing, main duties (pre-filled with access control, patrols, CCTV, alarms and reporting) and whether officers are unarmed or armed where lawful. It requires written post orders, licensed and trained officers who remain the provider's employees, lawful and reasonable use of force, daily logs and written incident reports within 24 hours, and the client's duties for access, facilities and site systems. It covers hourly and holiday rates, invoicing, rate changes, notice, a non-solicitation of officers that depends on local law, insurance and liability.

  • Most places license both security companies and individual officers; keep copies of officer licences on file.
  • Agree the client's named contacts and escalation order for incidents in the post orders.
  • If statutory wage rates change, use the 30-day rate-change notice rather than absorbing the cost.

Security services agreement: frequently asked questions

Are the guards the client's employees?

No. Officers are the provider's employees or contractors, and the provider is responsible for their pay, supervision, taxes and insurance. The client can ask for an officer to be replaced.

What force can officers use?

Only what the law allows and is reasonable in the circumstances, mainly to protect people. The client agrees not to ask officers to do anything unlawful, such as unlawful searches or detentions.

Is the security company liable if something is stolen?

Only if the loss was caused by its officers' negligence or misconduct. Security reduces risk but can't prevent all loss, and the provider doesn't insure the client's property.

Can the client hire the guards directly?

The agreement asks the client not to employ officers who worked at the site for six months after it ends without the provider's agreement. Whether that can be enforced depends on local law.
