What is TM02 Termination of a secretary?

Form TM02 tells Companies House that someone is no longer the secretary of a UK company, whether they resigned, were removed or died. It covers an individual secretary and a corporate secretary (a company or firm acting as secretary). It isn't for a director: that's form TM01.

The form is short. It asks for the company's number and name, the secretary's details as they are currently held on the register, and the date the appointment ended. Someone with authority to act for the company then prints their name in the authentication box. No signature is needed on this edition.

How to fill out TM02 Termination of a secretary, step by step

1 Company details

Enter the company number (8 characters, like 01234567 or SC123456) and the full company name. Both should match the Companies House register, or the form may be returned.

2 Secretary's current details on the register

Give the details exactly as they're on the register now: title (optional), full forenames and surname. For a corporate secretary, give its full registered name instead. There's a second line for a long corporate name.

3 Termination date

The date the appointment ended, whether that's the date of resignation, removal or death. Only one secretary appointment can be terminated per form.

4 Authentication

The person authenticating prints their name. This can be a director, the secretary, a person authorised under section 270 or 274 of the Companies Act 2006, a liquidator, administrator, receiver or one of the other office-holders listed on the form. No signature is needed.

5 Presenter information

Optional contact details for whoever is sending the form. They're visible to anyone searching the public record, so use business details.

Common mistakes to avoid

  • A company name or number that doesn't match the register exactly.
  • Using TM02 for a director. That's form TM01.
  • Putting two secretaries on one form. Each needs its own TM02.
  • Giving the secretary's new or different name instead of the name currently on the register.
  • Leaving out the termination date or the authenticating name.

After you fill it out

Print the TM02 and check it against the form's own checklist. Companies House says you can upload certain forms instead of posting them; if you post it, send it to the address for where the company is registered (see gov.uk/companies-house/offices). FileIt doesn't send it for you.

Once Companies House accepts it, the register shows the appointment as ended. Keep the completed form, and any resignation letter or board minute, in the company's FileIt folder.

A private company doesn't have to have a secretary unless its articles require one. If a new secretary is appointed, that's form AP03 (individual) or the corporate-secretary equivalent.

Who can authenticate a TM02?

The form lists a director, the secretary, a person authorised under section 270 or 274 of the Companies Act 2006, a liquidator, administrator, administrative receiver, receiver, receiver manager, Charity Commission receiver and manager, CIC manager or judicial factor. On this edition they print their name. No signature is needed.

Does TM02 work for a corporate secretary?

Yes. The form says it terminates the appointment of a secretary, individual or corporate. For a corporate secretary, give its registered name in the surname/corporate name box.

Can one TM02 cover two secretaries?

No. The form says only one secretary appointment can be terminated per form.

Is TM02 for a director who is leaving?

No. To end a director's appointment, use form TM01.

Will the details be public?

Yes. The form says all information on it will appear on the public record, including any presenter contact details you give.
