What is TM01 Termination of a director?

Form TM01 tells Companies House that someone is no longer a director of a UK company, whether they resigned, were removed by the shareholders or died. It works for an individual director and for a corporate director (a company acting as a director). It isn't for a company secretary: that's form TM02.

The form is short. It asks for the company's number and name, the director's details as they are currently held on the register, and the date the appointment ended. Someone with authority to act for the company then prints their name in the authentication box. No signature is needed on this edition.

Who needs to fill out TM01 Termination of a director?

A UK company whose director has resigned.
A company whose shareholders have removed a director.
A company whose director has died. The remaining directors or the secretary file it.
A company whose corporate director (another company) has stopped acting.
Accountants and company secretarial agents filing for a client company.
Not a company secretary leaving (use TM02), and not a company in the PROOF protected online filing scheme, which must file online.

When to use TM01 Termination of a director

As soon as a director's appointment has ended, so the public register is up to date.
When you can't or would rather not use Companies House's online service.
Once per director: two directors leaving means two TM01 forms.

What you need before you start

The company number and the company name exactly as on the register.
The director's name as currently registered, and their month and year of birth (optional, but it helps identify them).
For a corporate director, its registered name.
The date the appointment ended.
The name of the person authenticating the form (a director, the secretary or another authorised person).
Optionally, presenter contact details so Companies House can ask about any problem.

How to fill out TM01 Termination of a director, step by step

1 Company details

Enter the company number (8 characters, like 01234567 or SC123456) and the full company name. Both must match the Companies House register or the form may be returned.

2 Director's current details on the register

Give the details exactly as they're on the register now: the month and year of birth (voluntary), title (optional), full forenames and surname. For a corporate director, give its full registered name instead.

3 Termination date

The date the appointment ended, whether that's the date of resignation, removal or death. Only one director can be terminated per form.

4 Authentication

The person authenticating prints their name. This can be a director, the secretary, a person authorised under section 270 or 274 of the Companies Act 2006, a liquidator, administrator, receiver or one of the other office-holders listed on the form. No signature is needed.

5 Presenter information

Optional contact details for whoever is sending the form. They're visible to anyone searching the public record, so use business details.

Common mistakes to avoid

A company name or number that doesn't match the register exactly.
Using TM01 for a company secretary. That's form TM02.
Putting two directors on one form. Each needs its own TM01.
Giving the director's new or different name instead of the name currently on the register.
Leaving out the termination date or the authenticating name.

After you fill it out

Print the TM01 at full size on white A4 paper, as Companies House asks, and check it. You can upload certain forms to Companies House, or post it to the right office (see gov.uk/companies-house/offices). FileIt doesn't send it for you.

Once Companies House accepts it, the register shows the appointment as ended. Keep the completed form, and any resignation letter or board minute, in the company's FileIt folder.

If the company has no directors left, or fewer than its articles require, it will need to appoint a new director and tell Companies House.

Who can sign or authenticate a TM01?

The form lists a director, the secretary, a person authorised under section 270 or 274 of the Companies Act 2006, a liquidator, administrator, administrative receiver, receiver, receiver manager, Charity Commission receiver and manager, CIC manager or judicial factor. On this edition they print their name. No signature is needed.

Can I use TM01 for a corporate director?

Yes. The form covers individual and corporate directors. For a corporate director, give its registered name in the surname/corporate name box.

Can one TM01 remove two directors?

No. The form says only one director appointment can be terminated per form, so file a TM01 for each director.

Is the director's date of birth required?

No. The month and year of birth are voluntary. They help Companies House find the right person, and they appear on the public record if you give them.

Can I file TM01 online instead?

Yes, and Companies House recommends it because paper forms take longer to process. A company in the PROOF protected online filing scheme must not use the paper form.

Is TM01 for a company secretary?

No. To end a secretary's appointment, use form TM02.
