What is AA02 Dormant company accounts?

Form AA02, the Dormant Company Accounts (DCA), is a simple balance sheet a dormant company can file with Companies House instead of full accounts. It's only for a company limited by shares that has never traded, whose only transaction has been the issue of its subscriber shares, and that isn't a subsidiary. It can be used for financial years beginning on or after 6 April 2008.

It suits the small family and holding companies set up and never used: an unused trading name, a company kept for a future project, or a property company that never bought anything. You give the balance sheet date, how much of the share capital is paid and unpaid, the shares issued and their nominal value, and the date the directors approved the accounts. A director signs it.

Who needs to fill out AA02 Dormant company accounts?

  • A company limited by shares that has never traded, where the only entry in its records is the issue of its subscriber shares.
  • Families and individuals holding an unused company, for example one set up to protect a name or for a future venture.
  • Directors of a newly formed company that stayed dormant through its first financial year.
  • Not a charity, a company limited by guarantee or without shares, a subsidiary, or a company preparing accounts under International Accounting Standards.
  • Not for a financial year beginning before 6 April 2008 (an older version applies).

When to use AA02 Dormant company accounts

  • Each year the company stays dormant, when its annual accounts are due at Companies House.
  • After the directors have approved the accounts. The approval date goes in section 4.
  • If the company started trading or had any transaction other than issuing its subscriber shares, it can't use the DCA. Take professional advice.

What you need before you start

  • The company number and name exactly as on the register.
  • The balance sheet date (the last day of the financial year).
  • How much of the share capital has been paid (cash at bank and in hand) and how much is unpaid (called up share capital not paid).
  • The number of shares issued, their class (usually Ordinary) and nominal value per share.
  • Last year's figures, if the company has filed accounts before.
  • Whether the company acted as an agent for anyone during the year.
  • The date the directors approved the accounts, and the name of the director signing.

How to fill out AA02 Dormant company accounts, step by step

1 Company details and balance sheet date

Enter the company number and full name, and the date of the balance sheet. That is the end of the financial year these accounts cover. The same date goes in the 'for the year ending' statement.

2 Accounts

For the current year (and the previous year, if there is one): called up share capital not paid, and cash at bank and in hand. Their total is net assets. Shares can be fully paid, partly paid or unpaid. Any paid part is cash at bank and in hand, any unpaid part is called up share capital not paid.

3 Issued share capital

The number of shares, their class and nominal value each. Multiplied together, that's the issued share capital, which is also the shareholders' funds. The form's note says net assets should equal shareholders' funds, and FileIt checks this.

4 Statements

The printed statements say the company was entitled to exemption from audit under section 480 of the Companies Act 2006, that the members haven't required an audit under section 476, and that the directors acknowledge their responsibilities. Tick the box if the company acted as an agent for anyone during the year.

5 Approval, signature and name

The date the board approved the accounts, then a director signs in the signature box and prints their name below.

Common mistakes to avoid

  • Net assets that don't equal shareholders' funds.
  • Using the DCA for a company that has traded, has had other transactions, is a subsidiary, a charity or limited by guarantee.
  • Leaving out the date of approval, or giving one before the balance sheet date.
  • Forgetting the director's signature or printed name.
  • Not ticking the agent box when the company acted as an agent for someone.
  • A company name or number that doesn't match the register.

After you fill it out

Print the AA02, have a director sign it in section 5, and check every figure. Send it to Companies House by upload or post (see gov.uk/companies-house/offices), or file the dormant accounts online instead. FileIt doesn't file it for you.

Which companies can use AA02 dormant accounts?

Only a company limited by shares that has never traded, whose only transaction is the issue of subscriber shares, and which isn't a subsidiary, for financial years beginning on or after 6 April 2008. Charities, companies limited by guarantee or without shares, and accounts under International Accounting Standards can't use it.

What if the shares haven't been paid for?

Show the unpaid amount as 'Called up share capital not paid' and any paid amount as 'Cash at bank and in hand'. Together they make net assets, which should equal the issued share capital.

Does the company need an audit?

The form states the company was entitled to exemption from audit under section 480 of the Companies Act 2006 as a dormant company, and that the members haven't required one under section 476.

Who signs the dormant accounts?

A director signs in section 5 and prints their name below the signature.

What if Companies House charged the company a fee?

The guidance says a fee or penalty, such as a change of name fee or a late filing penalty, can be left out of the company's records and the DCA if a third party paid it without any right to be reimbursed.

Can I file dormant accounts online instead?

Yes. Companies House offers online filing for dormant company accounts and says it's quicker than posting paper forms.
