What is AP02 Appoint a corporate director?

Form AP02 tells Companies House that a UK company has appointed another company, or a firm, as one of its directors. An individual director is appointed on form AP01 instead.

The form asks for the appointment date, the corporate director's name and principal office address (which appears on the public record), and then one of two things: for a limited company registered in the UK, its registration number; for any other corporate body or firm, its legal form, the law that governs it and, if it's on a register, the register and its number there. The company ticks a box confirming the corporate director has consented to act, and someone with authority prints their name to authenticate it. No signature is needed on this edition.

Who needs to fill out AP02 Appoint a corporate director?

  • A UK company appointing another UK company as a director.
  • A UK company appointing an overseas company, partnership or other corporate body as a director.
  • Accountants and company secretarial agents filing for a client company.
  • Not an individual director (use AP01).

When to use AP02 Appoint a corporate director

  • After the company has appointed the corporate director.
  • When you can't or would rather not use Companies House's online service.

What you need before you start

  • The company number and the company name exactly as on the register.
  • The date of appointment.
  • The corporate director's full name and principal office address. It must be a physical location for the delivery of documents, not a PO Box (unless part of a full address), DX or LP number.
  • For a UK-registered limited company: its Companies House registration number.
  • For any other body or firm: its legal form, governing law and, if registered, the register (including the state) and its number there.
  • Confirmation that the corporate director has consented to act, and the name of the person authenticating the form.

How to fill out AP02 Appoint a corporate director, step by step

1 Company details

Enter the company number (8 characters, like 01234567 or SC123456) and the full company name, as on the register.

2 Date of appointment

The date the company appointed the corporate director.

3 New corporate director's details

Its full name and principal office address. Then answer whether it is a limited company registered in the UK: Yes takes you to section 4, No to section 5.

4 UK-registered limited companies

The corporate director's own registration number from the Companies House register.

5 Other corporate bodies or firms

Its legal form and the law that governs it. If it's entered in a register, give the register, including the state, and its number in that register. The form says that if you name the register you must also give the number.

6 Consent and authentication

Tick the box confirming the corporate body has consented to act as a director. The person authenticating prints their name: a director, the secretary, a person authorised under section 270 or 274 of the Companies Act 2006, or one of the office-holders listed on the form.

Common mistakes to avoid

  • Using AP02 for a person. Individual directors use AP01.
  • Leaving the consent box unticked.
  • A principal office address that is a DX or LP number, or a bare PO Box.
  • Naming an overseas register but leaving out the registration number.
  • Giving the appointing company's own number as the corporate director's registration number.

After you fill it out

Print the AP02 and go through the checklist on its last page. Companies House says you can upload certain forms instead of posting them; if you post it, send it to the address for where the company is registered (see gov.uk/companies-house/offices). FileIt doesn't send it for you.

Once accepted, the corporate director appears on the company's public register entry. Keep the completed form and the board minute or resolution in the company's FileIt folder.
