What is PSC05 Change a corporate PSC's (RLE) details?

Once a relevant legal entity (RLE), such as a parent company, is on a company's register of people with significant control, the company must keep its details up to date at Companies House. PSC05 gives notice of a change under section 790LD of the Companies Act 2006: a new name, a new principal office address, a new legal form, governing law or register entry, or a change in how it controls the company.

The form starts with the RLE's name as currently registered and the date of the change. You complete only the sections that changed on that date; a change on a different date needs its own form. It ends with the date the company had confirmation of the change and a printed name.

FileIt shows each change as its own part you can switch on, ticks the right boxes and prints everything onto Companies House's own PSC05 PDF (Version 4.0, 11/25). On this edition one box is missing from section 9 (trust voting rights of 75% or more), so FileIt marks an X where it belongs. It's authenticated with a printed name, not a signature. FileIt never files it for you.

How to fill out PSC05 Change a corporate PSC's (RLE) details, step by step

1 Company and current details

The company number and name, then the RLE's name as currently registered.

2 Date of change

The date the change occurred. Not before 6 April 2016.

3 Name and address

Sections 4 and 5: the new corporate name, or the new principal office address, which appears on the public record.

4 Legal form and governing law

Section 6: any change to the legal form, governing law, register, country or state, or registration number.

5 Nature of control

Sections 7 to 9: tick any new conditions that apply, as well as any that continue to apply, directly, through a firm or through a trust.

6 Confirmation and authentication

The date the company had confirmation of the change, then the printed name of the person authenticating.

Common mistakes to avoid

  • Putting the new name in section 2. Section 2 is the name currently on the register.
  • Ticking only the new conditions in sections 7 to 9. The form asks for the ones that continue to apply too.
  • Ticking 'significant influence or control' in section 7 alongside another statement there.
  • Combining changes from different dates on one form.
  • A confirmation date before the date of change.

After you fill it out

Print it at full size on white A4 paper and go through the checklist on its last page. Companies House says you can upload certain forms instead of posting them; if you post it, send it to the address for where the company is registered (see gov.uk/companies-house/offices). FileIt doesn't send it for you.

Update the company's own PSC register, and keep the PSC05 and the evidence of the change in the company's FileIt folder.

If the RLE stops having significant control, file PSC07.
