What is PSC02 Add a corporate PSC (RLE)?

Companies must tell Companies House who has significant control over them. When that is a company or other legal entity that keeps its own disclosure records (a relevant legal entity, or RLE), the notice goes on PSC02, under section 790LA of the Companies Act 2006. An individual PSC is notified on PSC01, and another registrable person on PSC03.

PSC02 asks for the date the entity became a registrable RLE (not before 6 April 2016), its name and principal office address, its legal form and governing law, the register it is entered in and its number there, and how it controls the company: through shares, voting rights, the right to appoint or remove a majority of the board, or significant influence or control, directly or through a firm or trust. It ends with the date the company had confirmation of the RLE's status and details, and a printed name.

FileIt walks you through each section, ticks the right boxes, fills the company number, dates and postcodes into their single-character boxes and prints everything onto Companies House's own PSC02 PDF (Version 4.0, 11/25). It's authenticated with a printed name, not a signature. FileIt never files it for you.

How to fill out PSC02 Add a corporate PSC (RLE), step by step

1 Company details

The company number (8 characters) and the full company name.

2 Date the entity became registrable

Not before 6 April 2016 and not in the future.

3 RLE details

The corporate or firm name and its principal office address, which appears on the public record.

4 Legal form and governing law

For example a public limited company under the Companies Act 2006. If it is entered in a register of companies, give the register, the country or state, and its registration number.

5 Nature of control

Section 5: the share band, the voting-rights band, the right to appoint or remove a majority of the board, or, only if none of those apply, significant influence or control.

6 Through a firm or a trust

Sections 6 and 7 are only for control the RLE exercises over a firm that is not a legal person, or over a trust, whose members or trustees meet those conditions.

7 Date of confirmation and authentication

The date the company had confirmation of the RLE's status and of all its required particulars, whichever is later, then the printed name of the person authenticating.

Common mistakes to avoid

  • Using PSC02 for a person. Individuals go on PSC01.
  • Ticking 'significant influence or control' as well as one of the other statements in section 5.
  • Ticking more than one band for shares or for voting rights.
  • A date before 6 April 2016, or a confirmation date before the entity became registrable.
  • Naming a register without the registration number.

After you fill it out

Print it at full size on white A4 paper and go through the checklist on its last page. Companies House says you can upload certain forms instead of posting them; if you post it, send it to the address for where the company is registered (see gov.uk/companies-house/offices). FileIt doesn't send it for you.

Update the company's own PSC register as well, and keep the PSC02 and the evidence (the share register or group structure chart) in the company's FileIt folder.

If the RLE's details change later, that's form PSC05. When it stops being registrable, it's PSC07.
