What is Form NR1 (change of registered office)?

Every company must have a registered office in Hong Kong to which all communications and notices may be addressed. When the address changes, section 658(3) of the Companies Ordinance (Cap. 622) requires the company to deliver a notice on Form NR1 to the Registrar of Companies within 15 days after the change.

The same form updates the company's email address and its Hong Kong contact telephone number, each with its own effective date. You complete only the items that changed. The new office address must be in Hong Kong: the form does not accept non-Hong Kong addresses, 'care of' addresses or post office box numbers.

FileIt fills the bilingual form in English, strikes out 'Director' or 'Company Secretary' as it asks, and prints everything into the Registry's own PDF. A director or the company secretary signs it by hand, and you deliver it yourself. FileIt never submits anything.

How to fill out Form NR1 (change of registered office), step by step

1 Company

The Business Registration Number (digits after the dash are not needed) and the company name.

2 Details of change

Switch on only the items that changed: (a) the new registered office address, (b) a new email address, (c) a new Hong Kong contact telephone number. Each has an effective date in DD / MM / YYYY boxes.

3 Signed

The name of the director or company secretary signing and the date. FileIt strikes out the capacity that does not apply.

4 Presentor's reference

Name, address, telephone, fax, email and reference of whoever delivers the form, so the Registry can contact them.

Common mistakes to avoid

  • Giving a post office box, a 'care of' address or an address outside Hong Kong as the registered office.
  • Missing the 15-day deadline.
  • Mixing Chinese and English answers. Fill in every item in one language.
  • Leaving the form unsigned. The Registry rejects forms that are not properly signed.
  • Leaving out the presentor's reference.

After you fill it out

Have a director or the company secretary sign the printed form.

Deliver it by post or in person to the Companies Registry, 14th floor, Queensway Government Offices, 66 Queensway, Hong Kong. A posted form the Registrar does not receive is not treated as delivered, so keep proof of posting.

The Inland Revenue Department keeps its own business registration records: a change of business address goes to the Business Registration Office on form IRC3111A.

Keep the filed copy in your vault with the company's records.
