What is Form NNC2 (change of company name)?

When a company passes a special resolution to change its name under section 107(2) of the Companies Ordinance (Cap. 622), it must deliver a notice on Form NNC2 to the Registrar of Companies within 15 days after the resolution. After a restoration (section 770(2)), the notice is due within 28 days after the restoration. The new name takes effect from the date the Registry issues the certificate of change of name.

The form gives the Business Registration Number, the existing English and Chinese names, the date of the special resolution and the intended English and Chinese names. A name the company has no English or Chinese version of is written as NIL. The special resolution itself is not filed.

FileIt fills the form in English and prints it on the Registry's own PDF. It cannot print Chinese characters: a Chinese name box either says NIL or is left blank for you to write in. A director or the company secretary signs it by hand. FileIt never submits anything.

How to fill out Form NNC2 (change of company name), step by step

1 Existing names

The current English name (NIL if there is none) and, for the Chinese name, NIL or a blank box to write it in by hand.

2 Special resolution

The date of the special resolution, in DD / MM / YYYY boxes.

3 Intended names

The new English name, and NIL or a blank box for the Chinese name. A name the company keeps must still be written in.

4 Signed and presentor

The signer's name and the date, with 'Director' or 'Company Secretary' struck out as it applies, then the presentor's English name, address and contacts. The Registry notifies the presentor to collect the certificate.

Common mistakes to avoid

  • Leaving a name box blank where the company has no such name. Write NIL.
  • Leaving out an existing name the company is keeping.
  • Sending the form without the correct fee. The Registry rejects it.
  • Leaving it unsigned, or signed by someone who is not a director or the company secretary.

After you fill it out

Write in any Chinese name by hand, or consider the e-Registry: the notes warn that handwritten forms may be rejected.

Have a director or the company secretary sign it, and deliver it with the fee by post or in person to the Companies Registry, 14th floor, Queensway Government Offices, 66 Queensway. If paying by cheque, the notes ask for a crossed cheque in Hong Kong dollars payable to 'Companies Registry'.

The Registry notifies the presentor by email or fax to collect the Certificate of Change of Name in person. A representative needs a written authorisation.

Keep the filed copy and the certificate in your vault.
