What is SH06 Notice of cancellation of shares?
When a limited company buys back its own shares and cancels them, it gives Companies House notice of the cancellation under section 708 of the Companies Act 2006. Form SH06 is that notice. A public company cancelling shares held by or for it under section 663 uses SH07 instead.
The form gives the date of cancellation and the shares cancelled, by class, number and nominal value. It then gives a statement of capital: the company's issued share capital immediately after the cancellation, one table per currency, with the prescribed particulars of the rights attached to each class. A director or other authorised officer signs it.
FileIt asks for each row once, works out the aggregate nominal values and the totals for each currency, adds the grand totals with different currencies shown separately, and prints everything onto Companies House's own SH06 PDF. Companies House lets you upload the form or post it, and FileIt never files it for you.

- Leaving out the prescribed particulars for a class shown in the statement of capital.
- Using SH06 for shares held by or for a public company, which need SH07.
